Terms of Use

1. Acceptance of Terms

By accessing or using Kaboo’s website, mobile applications, WhatsApp-based services, or any other services we provide (collectively, the “Services”), you agree to be bound by these Terms of Use (the “Terms”) and our Privacy Policy, incorporated herein by reference. If you do not agree with these Terms, do not use the Services.

2. Definitions

• User / You: any person or entity who accesses or uses the Services.

• WhatsApp Messages: messages (transactional or promotional) sent to your phone via the WhatsApp Business API or similar channels.

• Developer / Agent / Partner: business or individual users of the platform interacting via Kaboo.

3. Scope of Services

Kaboo provides a SaaS marketplace and collaboration platform that connects real estate developers and channel partners (agents/brokers), supporting onboarding, lead submission, site-visit coordination, invoice management, commission tracking and related services. Features and availability may change; Kaboo may add, modify or discontinue features at its discretion.

4. Communication Clause (WhatsApp & Other Messages)

1. Consent to Communications. By providing your mobile phone number and using Kaboo Services, you expressly consent to receive communications from Kaboo including transactional, operational, administrative, and promotional messages via WhatsApp, SMS, email, in-app notifications or other channels we operate.

2. Types of Messages. Transactional messages may include account confirmations, OTPs, lead status updates, invoice notifications, payout alerts, and security notices. Promotional messages may include product updates, offers, and marketing communications.

3. WhatsApp Platform. Messages may be delivered via Meta’s WhatsApp Business API or an authorized third-party provider. Kaboo will comply with WhatsApp/Meta policies and applicable law regarding message templates and user opt-ins.

5. User Responsibilities

You agree to the following when using Kaboo:

1. Accurate Information. You will provide true, accurate, current and complete information (including your name, phone number, company details, RERA or business registration where requested) and promptly update it when necessary.

2. Authority. If you act on behalf of an organization, you confirm you have authority to bind that organization to these Terms.

3. No Misuse. You will not misuse the Services or WhatsApp channel — including but not limited to:

   • Posting or sharing illegal, fraudulent, defamatory or obscene content;

   • Harvesting or collecting personal data from other users without consent;

   • Sharing messages that violate privacy or intellectual property rights;

   • Using automated scripts, bots or scraping tools unless expressly permitted; or

   • Attempting to circumvent, block or interfere with messages, verification, or other security features.

4. Consent for Lead Data. When you submit lead or contact data (including buyer contact details) to Kaboo or to a developer via Kaboo, you represent that you have obtained the necessary consents from the lead to share such information with the developer and for Kaboo to process it in accordance with our Privacy Policy.

5. Security. You are responsible for maintaining the confidentiality of your account credentials; you must notify Kaboo immediately of any unauthorized use.

6. Opt-Out / Unsubscribe & Grievance Redressal

1. Opt-Out from Marketing Messages. You may opt out from receiving promotional/marketing WhatsApp messages at any time by:

   • Replying STOP or the specified opt-out keyword to the WhatsApp message; or

   • Changing your notification preferences in the Kaboo app; or

   • Emailing hello@kaboo.ai with the subject line “Unsubscribe”.
     Opting out of promotional messages does not prevent Kaboo from sending you essential transactional or service messages necessary for the functioning of the Services (e.g., OTPs, lead status, invoice notifications).

2. Grievance Redressal. To raise a complaint regarding communications, privacy, or abuse, contact our Grievance Officer:

     We will acknowledge receipt of a complaint within 3 business days and aim to resolve it within 30 days, unless legal/regulatory processes require otherwise. We will provide updates if resolution requires more time.

7. Intellectual Property

All content, trademarks, service marks, logos, designs, code, and other intellectual property displayed on the Services are the property of Kaboo or its licensors. You are granted a limited, non-exclusive, non-transferable right to use the Services for their intended purpose. You may not copy, reproduce, republish, upload, post, transmit or distribute any material from the Services without prior written consent.

8. Third-Party Services & Links

The Services may contain links to third-party websites or integrations (including WhatsApp/Meta, payment gateways, analytics providers). Kaboo does not control third-party sites and is not responsible for their content or practices. Use of third-party services may be subject to additional terms and privacy policies.

9. Limitation of Liability

1. No Responsibility for WhatsApp/Third-Party Platform Issues. You acknowledge and agree that messages and other functionality delivered via WhatsApp or other third-party platforms are subject to the availability, performance and policies of those platforms. Kaboo is not responsible for any failures, delays, interruptions, or loss of messages caused by WhatsApp, Meta, mobile carriers, or other third parties.

2. Third-Party Misuse. Kaboo shall not be liable for damages arising from misuse of the Services by third parties (including developers, agents, or other users) or from your own failure to follow security practices.

3. General Limitation. To the maximum extent permitted by applicable law, Kaboo, its officers, directors, employees, agents and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, lost profits, data loss, or loss of goodwill arising out of or in connection with these Terms or the Services, even if Kaboo has been advised of the possibility of such damages.

4. Cap on Liability. Where applicable law allows, Kaboo’s total aggregate liability in respect of any claim arising out of or in connection with these Terms shall be limited to the amount paid by you to Kaboo in the 12 months preceding the claim (or ₹10,000 if no payment has been made), except where otherwise legally required.

5. Exceptions. Nothing in these Terms shall exclude or limit liability for death or personal injury caused by Kaboo’s negligence, fraud, or any other liability that cannot be excluded by applicable law.

10. Indemnity

You agree to indemnify, defend and hold harmless Kaboo, its officers, directors, employees and agents from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys’ fees) arising from: (a) your breach of these Terms; (b) your misuse of the Services; (c) your violation of any rights of a third party; or (d) your submission of leads or user data without proper consent.

11. Suspension & Termination

Kaboo may suspend or terminate your access to the Services, with or without notice, if you violate these Terms, if your conduct affects Kaboo’s systems or other users, or for any other reason in Kaboo’s discretion. Upon termination, your right to access the Services ceases. Kaboo may retain and use data as permitted under the Privacy Policy and applicable law.

12. Modifications to the Terms & Updates to Policies

1. Amendments. Kaboo may modify these Terms from time to time. We will notify you of material changes by posting the updated Terms on our site and by one or more of the following: in-app notification, email, or a WhatsApp message to your registered phone number. The updated Terms will include the effective date.

2. Acceptance of Changes. By continuing to use the Services after the effective date of the updated Terms, you accept and agree to the changes. If you do not agree to the changes, you must stop using the Services and may terminate your account.

3. Privacy Policy Updates. Changes to how we collect or use personal data will be communicated in accordance with the Privacy Policy and applicable law.

13. Privacy

Your use of the Services is subject to Kaboo’s Privacy Policy, which explains how we collect, use, share and retain personal information. The Privacy Policy is available at: https://kaboo.ai/privacy-policy (or the location you provide).

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bangalore, India. Prior to initiating legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation and the grievance process described above.

15. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with any documents expressly incorporated by reference (including the Privacy Policy), constitute the entire agreement between you and Kaboo regarding the Services and supersede all prior agreements between you and Kaboo relating to the subject matter.
